Terms of Service

1. What this is

qRate is a data-infrastructure platform for private credit. WARREN is the first product on it — a browser for BDC (Business Development Company) portfolio holdings, marks, ratings, and credit signals, sourced from SEC EDGAR filings and reconciled by the qRate extraction pipeline. By using WARREN you agree to these terms.

We're currently in beta access. Things will break. Numbers will be wrong sometimes. We patch fast and ship often. If you can't live with that, this isn't the right time to use the product.

2. Not investment advice

Everything WARREN renders is informational. The signals, marks, dispersions, ratings, and commentary are not investment advice and not a recommendation to buy, sell, or hold any security. We are not a registered investment adviser, broker-dealer, or fiduciary. Do your own work, talk to your own counsel, and don't make trading decisions on the basis of anything you read here.

3. Data sources

WARREN reads public 10-Q and 10-K filings on SEC EDGAR and reconciles them via multi-vendor LLM extraction. Some fields are derived (e.g. canonicalized borrower names, cross-BDC mark dispersion); these are qRate's aggregations, not the issuer's reported data. We make a best-faith effort at accuracy but do not warrant that the extracted or derived data is free of errors.

If you spot a discrepancy between WARREN and a primary filing, email data@q-rate.coand we'll fix it.

4. Your account

You sign in with email + magic link. You're responsible for keeping access to your inbox secure. We don't support password-based login for customer accounts — staff accounts are governed separately.

Beta access includes a 30-day window of full features. After the window, you can stay on the free tier (weekly digest only) or upgrade once paid plans are available.

5. Acceptable use

You won't:

  • Scrape the site to build a competing product or republish bulk data without written permission
  • Reverse-engineer the extraction pipeline or the underlying qRate ontology
  • Use the service to send unsolicited bulk email or other spam
  • Misrepresent yourself or attempt to access another user's account

Reasonable individual use of the public browse surfaces and your own account is fine. If you're uncertain whether your use case fits, ask first.

6. Intellectual property

The reconciled data, signal definitions, ontology, code, and brand assets are qRate's. The underlying SEC filings are public and qRate makes no claim over them.

You retain ownership of anything you submit (feedback, corrections, comments). By submitting it, you grant qRate a non-exclusive, royalty-free license to use it to improve the product.

7. Termination

We can suspend or terminate your access at any time, including without notice, if you violate these terms or if we shut the product down. You can stop using WARREN any time — email data@q-rate.coto delete your account.

8. Disclaimers and liability

WARREN is provided as-is and as-available, with all faults. qRate disclaims all warranties, express or implied — merchantability, fitness for a particular purpose, accuracy, non-infringement.

qRate's aggregate liability for any claim arising out of these terms or your use of the service is capped at the greater of$100 or what you've paid qRate in the prior twelve months. We're not liable for indirect, incidental, consequential, or punitive damages.

9. Changes

We may update these terms; the effective date at the top reflects the latest version. Continued use of the service after a change means you accept it. For material changes (rights, payment terms, data handling) we'll notify by email when you have an account.

10. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware.
